Please read these Terms of Service ("Terms") carefully before using the Algoist platform and services. These Terms govern your access to and use of the platform accessible at intelligence.algoist.com, the corporate website at algoist.com, and all related subdomains and services (collectively, the "Service"), operated by Algoist ("Algoist," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

2. Acceptance of Terms

By creating an account, logging in, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration

4.1 Registration. To access the Service, you must create an account by providing accurate and complete information. You are responsible for:

We reserve the right to terminate or suspend accounts that contain false information or that violate these Terms.

4.2 Team Management. If your subscription plan includes multiple user seats, you may invite additional users to your organization account. You are responsible for the conduct of all users added to your account and for ensuring they comply with these Terms. You must not exceed the number of active seats permitted under your subscription plan. We reserve the right to limit or disable accounts that exceed their permitted seat count.

5. Subscriptions and Billing

5.1 Subscription Plans. Algoist offers paid subscription plans with varying features, user limits, domain limits, and AI token allocations. Pricing and plan features are described on our pricing page and may change with reasonable notice.

5.2 Payment Processing. All payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you agree to Stripe's Terms of Service and authorize us to charge your payment method for subscription fees.

5.3 Billing Cycle. Subscriptions are billed in advance on a monthly or annual basis as selected at sign-up. All fees are in Canadian dollars (CAD) unless otherwise stated. Fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5.4 Free Trials. We may offer free trial periods. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled before the trial end date.

5.5 Cancellation. You may cancel your subscription at any time through the account billing portal. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid.

5.6 Failed Payments. If a payment fails, we may suspend or terminate your account after reasonable notice. You remain responsible for any unpaid amounts.

5.7 Price Changes. We reserve the right to change subscription prices. We will provide at least 30 days' advance written notice of price changes. Continued use after the effective date constitutes acceptance of the new pricing.

6. AI Tokens and Credits

Certain features of the Service consume AI tokens, which represent your allocation of AI processing capacity. Token allocations are determined by your subscription plan and reset on your billing cycle. Unused tokens do not carry over between billing periods. Tokens are not refundable and have no cash value.

7. Third-Party Integrations

7.1 Google Services. The Service integrates with Google Search Console, Google Analytics 4, Google Ads, and Google Tag Manager via OAuth 2.0. By connecting these accounts, you authorize Algoist to access data from those platforms on your behalf in accordance with your permissions and Google's terms of service. We are not responsible for the availability, accuracy, or terms of Google's services.

7.2 Google BigQuery. Where configured, the Service may export analytics and performance data to Google BigQuery for advanced reporting purposes. You are responsible for your own BigQuery account costs, access controls, and compliance with Google's terms of service.

7.3 Amazon Web Services (AWS). AI-generated images and manually uploaded images are stored in and delivered from Amazon Web Services S3 and CloudFront. By uploading images or using image generation features, you acknowledge that this content is processed and stored by AWS. You retain ownership of your images; AWS processes them solely to deliver them as part of the Service.

7.4 General. We are not responsible for the availability, accuracy, or terms of any third-party service. Disconnection or changes to third-party platforms may affect Service functionality.

7.5 Service Availability. While we strive for high availability, the Service is provided "as is" without warranty of uninterrupted access. We may perform scheduled or emergency maintenance and will endeavour to provide advance notice where practical. We are not liable for downtime or degraded performance caused by third-party infrastructure providers (including AWS, Google, or OpenAI) or factors beyond our reasonable control.

8. AI-Powered Features and Third-Party AI Providers

8.1 AI Providers. Algoist uses multiple third-party artificial intelligence APIs to deliver features including content generation, keyword analysis, optimization recommendations, and assessments. These providers currently include, but are not limited to:

8.2 Data Sent to AI Providers. When you use AI-powered features, relevant context from your account — including keywords, article topics, domain information, search performance summaries, and client content — may be transmitted to one or more of the above AI providers for processing. By using AI features, you consent to this data transmission.

8.3 Limitations on AI Data. We do not send personal identifiers (such as names or email addresses), billing information, or raw OAuth credentials to AI providers. Data sent is limited to the minimum context required for the feature being used.

8.4 No AI Training on Your Data. To the extent within our control and consistent with the API terms of our AI providers, your data is not used to train third-party AI models. OpenAI, Anthropic, and Google each maintain their own policies regarding API data; we encourage you to review them.

8.5 AI Output Disclaimer. AI-generated content, recommendations, and analysis are provided for informational and productivity purposes only. You are solely responsible for reviewing, editing, and verifying any AI-generated output before publication or use. We make no representations about the accuracy, completeness, or fitness for any particular purpose of AI-generated output.

10. Intellectual Property

10.1 Our IP. Algoist and its licensors own all rights, title, and interest in the Service, including its software, design, trademarks, and proprietary content. Nothing in these Terms grants you ownership of any part of the Service.

10.2 Your Content. You retain ownership of all data, content, and materials you upload or create using the Service ("Your Content"). You grant us a limited, non-exclusive, royalty-free license to process, store, and display Your Content solely to provide the Service to you.

10.3 AI-Generated Outputs. To the extent permitted by applicable law, you own the rights to outputs generated by the AI features through your account, subject to your compliance with these Terms, the terms of the underlying AI providers, and any applicable law governing AI-generated content. You are solely responsible for reviewing, editing, and verifying all AI-generated outputs prior to use or publication. Algoist makes no representation about the originality, accuracy, or intellectual property status of AI-generated content.

10.4 Feedback. If you provide feedback or suggestions about the Service, we may use them to improve the Service without any obligation or compensation to you.

11. Privacy and Data

Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference and complies with the Personal Information Protection and Electronic Documents Act (PIPEDA). By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. SEARCH ENGINE RANKINGS, TRAFFIC, AND BUSINESS OUTCOMES ARE SUBJECT TO MANY FACTORS OUTSIDE OUR CONTROL; WE MAKE NO GUARANTEES REGARDING RESULTS FROM USE OF THE SERVICE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN AND ONTARIO LAW, IN NO EVENT SHALL ALGOIST, ITS DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR ANY THIRD-PARTY AI PROVIDER'S PROCESSING OF YOUR DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

14. Indemnification

You agree to indemnify, defend, and hold harmless Algoist and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

15. Termination

We may suspend or terminate your account and access to the Service at any time for violation of these Terms, non-payment, or other lawful reasons, with or without prior notice. You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service ceases immediately. Sections 10, 11, 12, 13, 14, and 16 survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. You waive any objection to the exercise of jurisdiction by such courts.

17. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The most current version of these Terms is always available at intelligence.algoist.com/terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Algoist regarding the Service and supersede all prior agreements, representations, and understandings.
